This (website/API) is the official platform of Abhibha Technologies Pvt. Ltd (‘hereinafter referred to as Onmeta’). This website (“add URL”) and the Onmeta API, and other platforms or websites as specified by Onmeta from time to time, are owned and operated by Onmeta.
These Terms of Use (“Terms”) govern the relationship between you (‘the End User’ ‘you’) and Onmeta (‘we’, ‘us’) by setting out the terms and conditions on which Onmeta provides Services to End Users through its websites, widgets and/or APIs.

This document titled ‘Terms of Use’ contains the terms and conditions based on which we provide our Services to you.  

Why should you read this document? 
Please read this document very carefully before using our Services. This document along with other Policies of Onmeta, governs the rendering of Services from Onmeta to you, the user. 
This document tells you who we are, how we will provide the Services to you and what to do if there is a problem and other important terms and conditions which govern the relationship you have with Onmeta as an end-user.

Applicability and Eligibility 

 Upon using the website or availing the Services of Onmeta, you are accepting these Terms, either by the virtue of availing the Services of Onmeta or by explicitly agreeing to these Terms before availing the Services of Onmeta.  If you do not agree to these Terms you must stop using our Services.  To avail the Services of Onmeta, you must be at least 18 years of age and legally competent to enter into a legally binding contract with Onmeta. By using our Services you warrant and represent that you are legally competent to agree to these Terms. You must stop using our Services immediately if you are not legally competent to agree to these Terms. 

Services 

Onmeta provinces you with access to its Onmeta API and dashboard, which enables you to engage in transactions for the purchase or sale of virtual digital assets.  You can access our services by accessing the Onmeta API from the platforms of Onmeta’s Partners. To use our Services you must sign up on our API through the platforms of Onmeta’s Partners by providing us with your email and verifying the same using the One-Time Password which will be sent to your email address.You will also have to complete Onmeta’s Know-Your-Customer requirements by providing the information as required by Onmeta in compliance with Applicable Laws to use our Services, where such Applicable Laws mandate such compliances. By signing up with Onmeta, you represent that all the information and documents that you have submitted to Onmeta are true, accurate and complete. Onmeta reserves the right to terminate your account if any information provided to Onmeta is false, incorrect or incomplete. Onmeta is not liable for any activities done through your account and you agree that it is your responsibility to ensure any unauthorized activities do not take place using your account.  

Restrictions on Usage

 By using our Services you represent that you are availing our Services solely for lawful activities. You will not use our Services to engage in any criminal activities, any activity that is banned, illegal or immoral, or use our Services in any manner or in furtherance of any activities that may constitute a violation of any law or regulations. You will not use our Services to engage in money laundering, terror financing or any other activity that is prohibited by law. You will not use our Services to engage in such activities which may cause Onmeta to be subjected to legal action, investigation or prosecution by any governmental authorities. Onmeta reserves the right to suspend your account in case it determines that your account is being used to engage in any form of suspicious activity. All transactions on Onmeta must be done by you in compliance with all applicable laws and regulations as applicable from time to time. Onmeta shall not be liable for any action or liability where usage of Services of Onmeta is done in contravention of applicable laws and regulations as applicable from time to time. 

Representations and Warranties 

By using our Services you represent and warrant to us that you are complying with all applicable laws and regulations, specifically those laws relating to anti-money laundering, as applicable to you from time to time in respect of the jurisdiction you are located in.  By using our Services you represent and warrant to us that engaging in these transactions on Onmeta is not prohibited by law in your jurisdiction. You represent and warrant that you have not allowed any third party to use your account to access the services of Onmeta. You represent and warrant that you are legally eligible to avail of our Services in line with the terms and conditions laid down in this document.

Payment Terms  

 You will be required to pay certain fees on each transaction you undertake on Onmeta. It will be reflected on the API while you undertake each transaction.On certain transactions, Onmeta is obligated to deduct specific amount of the consideration for the purpose of complying with Tax Deducted at Source mandates imposed on Onmeta as per Applicable Laws. When engaging in transactions on Onmeta, for each order you place a detailed break-up of the Onmeta fees, applicable taxes to be deducted, applicable gas fees would be displayed, after the acceptance of which, your order for each transaction would be processed by Onmeta. Onmeta will process your order only after we have received the full consideration as displayed when you are placing your order. In cases where the your order cannot be processed due to you providing us incorrect account details, Onmeta will refund the amount paid by you, to the same source account from which you have made the payment to Onmeta. Reasonable spillage is expected in all our transactions and the same will be notified to you when you place an order. Spillage upto 1% is expected, and no refunds will be issued by Onmeta for spillage upto 1%. If the spillage is more than 1% Onmeta will reach out to you, and only upon your acceptance of the same the order will be processed, else the order will be cancelled and a refund will be processed. If you have paid Onmeta using a payment service which provides you with chargeback rights, you agree that no chargeback can be exercised by you, for any reasons whatsoever, if Onmeta has successfully processed your order. In cases where Onmeta is unable to process your order where the order quantity is less than the minimum requirements for a transaction, your order will be cancelled and any amount paid to Onmeta will be refunded to the same source account. 

Change in Terms 

We may modify these Terms of Service at any time, but if we do so, we will notify you by publishing the changes on this website if you let us know in advance. If you disagree with these terms of Service or any updated Terms of Service, you may close your account (if you have one) at any time.

Intellectual Property

All contents on Onmeta’s website, Onmeta API and other products or platforms of Onmeta are the sole intellectual property of Onmeta. As a user, you are provided with a limited right to access Onmeta API for the purpose of availing of the Services rendered by Onmeta. You agree that you will not use the Intellectual property of Onmeta for any other purposes. You also agree that you will not engage in any activities attempting to reverse engineer the product of Onmeta. Any other Intellectual Property, utilized by Onmeta in order to provide these Services not owned by Onmeta is specifically licensed to Onmeta, Onmeta owns no rights over these Intellectual properties owned by third parties and is merely using the same on based on licences from these third-party partners of Onmeta. 

Personal Information 

For the purpose of providing our Services, we will be collecting certain personal information as required by Applicable laws to comply with its Know-Your-Customer Obligations. This information shall be collected as per Onmeta’s Privacy Policy which regulates the mode and manner in which Onmeta handles your data. By using our Services you expressly consent to Onmeta collecting this information. Onmeta is entitled to use this data for the purpose of providing these Services and for the purpose of improving these Services. Onmeta is entitled to share this information with its partners for the purpose of providing these Services. Onmeta is also entitled to share this information with governmental agencies as required by law. 

Grievance Redressal 

For any grievances or support requirements with our Services, you may use the Chat Support feature available on the API to reach out to our Customer Support. Our customer support representative will respond instantly during working hours between 9 AM to 9 PM (Indian Standard Time) on all working days. On non-working days or beyond working hours our response time may be slightly delayed. As soon as your issue is acknowledged by us a ticket will be raised which will escalate your issue internally with the respective team. All tickets will be resolved within 48 to 72 hours after being raised. In case we are unable to resolve your ticket within the aforementioned timeline, you will be notified of the same.In case you are accessing our Services through the platforms of our Partners, all grievances will have to be raised on the support channels of our Partners who will assist you in resolving the issues. 
MiscellaneousLRS (Liberalized Remittance Scheme) Master Directions permit resident Indian individuals to remit funds abroad for permitted current or capital account transactions up to US$ 250,000 (United States Dollar Two Hundred Fifty Thousand) every financial year. It is your (end user) responsibility to be in compliance of the LRS limitThe transactions undertaken by you (end user) at the Platform are not capital or current account transactions and no assets or liabilities will be created for or on behalf of users pursuant to the transaction. While transacting in Onmeta’s widget, you agree that you are not on The Financial Action Task Force’s (“FATF”) sanction list or any other global sanctions list issued to counter inter alia money laundering, terrorist financing and proliferation financing. Users/purchasers on FATF list or any other sanctions list (issued to counter money laundering, terrorist financing, and proliferation financing to the transaction) are prohibited from entering into any transactions on the Platform. By transacting on Onmeta's platform You agree that Onmeta does not directly trade with the user in ordinary course of business. However, due to the complexity of the business and the transaction cycle, if Onmeta engages in direct transaction/trade with the user, such transaction is undertaken by the Onmeta on behalf of the Web3 platform using Onmeta’s serviceBy transacting in Onmeta widget the user agrees that the money/fiat currency received by Onmeta is in ordinary course of business and is not a deposit. 

Indemnity 

You agree to indemnify Onmeta and/or its affiliates, agents and employees, from any legal proceedings, damages, or liabilities, that arise on account of your actions that are in violation of these terms or with applicable law. 

Disclaimers 

By using our Services you acknowledge that you are undertaking these transactions on our API at your own risk. Onmeta is providing these Services on an “As-is” basis and does not provide any special guarantees or warranties. Onmeta is not liable for any change in law that may render transactions undertaken on its platforms illegal. Onmeta is merely providing technical infrastructure to engage in these transactions, it does not offer any financial or other advice, you are undertaking these transactions at your own risk.You acknowledge that you completely understand that engaging in these transactions may involve substantial degree of personal risk owing to the speculative nature of the assets involved. Onmeta does not may any representations or recommendations regarding the advisability or otherwise for the purchase or sale of these virtual digital assets.
